**Terms and Conditions Overview**

These terms and conditions (Terms) apply to all goods sold and services provided by us.

By ordering goods or using our services, you agree and accept these Terms, and expressly acknowledge that all goods and services provided to you are based on these Terms.

**Definitions**

In these Terms:

– Consumer Guarantees Act refers to the Consumer Guarantees Act 1993.

– Products and Services refer to the products and services provided to you by us.

– AIYoga, we, or us refers to Yoga Training Nz Ltd, its successors, and assignees.

– An Order refers to any order for products and/or services placed by you with us.

– Services refer to all services provided to you by us, primarily yoga and Pilates classes (including membership and any other services we agree to provide to you).

– Studio refers to our place of business located at 51 Paul Matthews Road, Rosedale, Albany, or any other place of business we use to provide services.

– You refers to the customer or any person acting on behalf of and with the authority of the customer.

**Orders**

– The price details of our products and services can be found on our website (which may change at any time without notice) or determined by AIYoga from time to time.

– We are not bound by any clerical or scribal errors or omissions on any quote, acknowledgment, invoice, or any other written material; such errors or omissions are subject to correction.

– We may at our sole discretion accept or reject any order for any reason, and the order shall not be binding on us until we have provided written confirmation of acceptance. Upon accepting your order, a contract for supply and/or service will come into effect based on these Terms.

– Unless otherwise stated, prices are quoted in New Zealand dollars and include Goods and Services Tax (GST), any other applicable taxes and duties, and any delivery charges.

**Payment**

– We will provide you with an invoice for any goods and/or services purchased from us.

– Payment for goods and services shall be made at the time you place the order. Payment timing is critical. Please make payments according to the instructions on our website.

**Services**

– AIYoga classes start and end on time.

– If it’s your first class, please arrive 15 minutes early. You need enough time to set up an account with us and settle down in the yoga room.

– Our newcomer card is only available to new members and can be purchased once per person.

– Our newcomer card, annual card, monthly card, and quarterly card memberships for group classes are unlimited.

– The annual card contract starts from 12 months (excluding core bed group classes).

– Specialty small group classes start with a minimum of 3 people, 3-8 people per class, with no makeup classes for absences (as it affects the class’s effectiveness).

– Core bed small group classes start with a minimum of 2 people, 2-5 people per class.

– Prenatal yoga starts with a minimum of 2 people, 10 sessions per term, with no makeup classes for absences.

– All classes (including private classes) can cancel reservations up to 12 hours before the class starts; if a student does not cancel the reservation 12 hours before the class starts and results in a no-show, it will be considered as a voluntary consumption once.

– Non-members need to purchase a single card for classes and make a reservation in advance.

– Multi-pass and annual pass holders can take a leave once a year for up to 30 days.

– Quarterly pass holders can take a leave once for up to 10 days.

– 10-pass cards are valid for 6 months.

– 20-pass cards are valid for 6 months.

– Private instruction is scheduled by customer service; if a change of time is due to personal reasons, it is not guaranteed to be scheduled in the short term.

– Private instruction card members (12 sessions) who cannot attend class due to emergency reasons (excluding injury, pregnancy) leading to expiration can extend for 4 weeks.

– All private instruction card members are not bound to a fixed instructor.

– All prices include GST.

– Credit card payments incur a 2% fee.

– Alipay payments incur a 2% fee.

– WeChat payments incur a 2% fee.

– The class schedule is updated monthly.

– Sold cards can be transferred (without expiration) but are not refundable. If you wish to transfer, please contact us. We charge a transfer fee of 20 NZD.

– The yoga studio is closed during public holidays.

– Multi-pass holders can add the remaining sessions from the previous card to the new one when renewing.

**Cancellation of Classes**

– If you cannot attend a class you have booked, you must cancel your class according to our cancellation policy on our website.

– All classes (except private classes) open for booking 15 days in advance

– All classes (including private classes) can cancel reservations up to 12 hours before the class starts.

– Multi-pass and annual pass holders can take a leave once a year for up to 30 days.

– Quarterly pass holders can take a leave once for up to 10 days.

– Private instruction card members are scheduled by customer service; if a change of time is due to personal reasons, it is not guaranteed to be scheduled in the short term.

– Private instruction card members (12 sessions) who cannot attend class due to emergency reasons (excluding injury, pregnancy) leading to expiration can extend for 4 weeks.

– All private instruction card members are not bound to a fixed instructor.

– We may cancel these Terms or the delivery of goods and/or the supply of services at any time before the goods are delivered or the services are commenced by giving written notice. Upon giving such notice, we shall promptly repay to you any sums paid in respect of the Price. We shall not be liable for any loss or damage whatever arising from such cancellation.

**Studio Rules and Safety**

– You agree to comply with the current rules of AIYoga and any rules as they are introduced from time to time.

– If any of your activities or behavior is deemed by AIYoga to be illegal, offensive, dangerous, or disruptive to anyone, AIYoga reserves the right to ask you to leave the studio.

– Your safety is important to us. That’s why we operate CCTV cameras 24/7 in our yoga studio to ensure your safety, the safety of your property, and the security of our classroom.

– By using our services, you consent to being filmed in our yoga studio.

– We are not responsible for any personal items you bring that are lost or damaged. Therefore, we advise you not to bring any valuable personal items into our studio, only bringing items that are absolutely necessary during your visit.

**Health and Safety**

– At registration and when using our studio and services, you must be in good health, without any disability, damage, injury, disease, or condition that prevents you from engaging in active or passive exercise, or that could increase the risk of injury or adverse health consequences as a result of using our facilities or services.

– You acknowledge that our services may involve high-intensity physical exercise, and you accept the responsibility to ensure you are capable of participating in our classes and assessing your own limitations. If you are injured and it may hinder your full participation, you should discuss this with the instructor before the class begins.

– Any advice from our instructors does not constitute medical advice, and if you have any concerns about your health or wellbeing, we strongly advise you to consult a qualified medical professional before starting classes.

– During classes, you must follow the guidance of our instructors. You must not train or instruct other users of our services, nor offer to do so.

– When visiting our studio and using our services, you must wear appropriate exercise attire. We recommend wearing comfortable and stretchable cotton exercise clothing. Beginners should wear long-sleeved shirts and knee-length pants. During practice, do not wear jewelry or sharp objects (such as diamond rings, nail rhinestones, gemstone rings, etc.) on your hands, feet, wrists, head, or neck.

– If you are dressed inappropriately, we reserve the right to refuse you entry to our studio.

– All core bed classes must wear non-slip socks.

– You need to bring a yoga mat to class (there are public yoga mats available for rent at $2 per use) and bring your own drinking water.

– Unless you have low blood sugar, we recommend not eating too much food one hour before class; in this case, only eat a small amount of easily digestible food.

– Smoking is not allowed in our facilities.

– If you have any of the following physical conditions, please consult your doctor before attending class:

– Pregnancy, prenatal yoga can be practiced from 12 weeks (placenta previa and low-lying placenta are not suitable for prenatal small group classes)

– At least 6 weeks rest after vaginal delivery, cesarean section is recommended to rest for 3-6 months (varies by individual) before starting yoga practice

– Glaucoma;

– Recent surgery (especially on shoulders, eyes, back, hips, hands, wrists, etc.);

– Heart failure;

– Low blood pressure and high blood pressure;

– Episodic vertigo;

– Osteoporosis;

– Recent head, neck, spinal injury (especially car accidents);

– Fainting;

– Carpal tunnel syndrome;

– Severe arthritis;

– Sinusitis;

– Inner ear problems;

– Esophageal hiatal hernia;

– Severe disc herniation or other disc problems;

– Stroke;

– Cerebral arteriosclerosis;

– Botox injections (within 6 hours); or

– Cosmetic surgery (within 3 months).

– You

warrant to us that when booking classes in our studio, you have considered any of the above health conditions, and you do not have any other diseases, injuries, or health conditions that may affect your ability to participate in our classes.

– You acknowledge that our instructors may use tactile cues and adjustments, or physical contact to correct you, to ensure your practice is conducted in the correct manner for a safe Pilates and/or yoga experience. You hereby agree that we shall not be liable for any injury or claims resulting from your participation in any activities at our facility and waive all rights to pursue and claim against us (including our employees).

– The body shaping effect and health improvement degree of yoga and other exercise classes vary from person to person depending on individual physique, lifestyle, and dietary habits. Please note.

**Breach of Terms**

– AIYoga may, at any time, by written notice, terminate your contract or membership in the following circumstances:

– Breach of any term of this agreement;

– Breach of any rule of AIYoga;

– Engaging in criminal, offensive, dangerous, or disruptive activities in the studio;

– We consider that your behavior in the studio is incompatible with AIYoga membership;

– We consider your health condition unsuitable to continue as a member of AIYoga.

– Upon termination of the contract, you must pay all unpaid fees due to us.

**Retail Goods**

– We only ship to addresses within New Zealand.

– We will notify you after shipping and provide you with an estimated delivery date. Although we will make every effort to deliver goods on any date, these dates are only estimates.

– Delivery to your specified delivery address. You should make all necessary arrangements to accept the delivery of goods. We may assume that anyone accepting the delivery of goods is authorized to do so on your behalf. If no one is at the delivery address to receive the goods, you will bear our costs.

**Refunds**

– If the product does not meet the standards specified in the Consumer Guarantees Act (see above) or other legal requirements, we will replace or refund any goods in accordance with the Consumer Guarantees Act.

– Before we provide any repair, replacement, or refund, the goods must be returned and proof of purchase inspected.

– Any refund will be credited to the card used to purchase the goods.

– We do not offer refunds or exchanges.

**Warranty**

– When you order goods as a consumer, the Consumer Guarantees Act specifies the minimum standards for goods. We provide the following guarantees according to the Consumer Guarantees Act and further specified in the Consumer Guarantees Act:

– We have the right to sell the goods to you;

– The goods are free from any undisclosed securities;

– You have the right to possess the goods without interference;

– The goods are of acceptable quality;

– The goods are fit for the purpose known to us or represented by us;

– The goods match the sample and/or description.

– We will also comply with the obligations specified in the Fair Trading Act 1986 (FTA). The FTA aims to protect consumers from intentional or unintentional misleading. This applies to all aspects of the promotion and sale of goods and services, including: pricing, where the product is produced, where the product comes from, whether it meets New Zealand safety standards, the availability of the product, and the sales techniques used.

– Except for any express warranty we provide for specific goods or any implied warranty specified by the Consumer Guarantees Act or any other applicable law, we make no representations, warranties, or guarantees to you regarding the goods. To the fullest extent permitted by law, any warranty or guarantee implied by law, custom, or practice is not included.

**Liability**

– Without limiting our obligations and your rights under this Act, and to the extent permitted by law, AIYoga:

– Will not be liable for any type of direct, indirect, or consequential loss, damage, or injury to you or your property;

– Makes no representations, gives no warranty, condition, or any form of guarantee (including any degree of warranty, condition, or guarantee that may be excluded by law, custom, or practice) regarding the goods and services, does not accept any liability for warranty, condition, guarantee, representation, statement, or term not expressly specified in these Terms; and

– If you terminate the service, we will have no obligation to refund any money to you.

– To the maximum extent permitted by law, our maximum liability to you in any circumstances shall be limited to the invoice value of the amount of goods or services involved in the claim.

– Nothing in these Terms and Conditions is intended to limit or exclude any liability that cannot be excluded by law.

– You acknowledge that our agents and/or representatives (if any) do not make any authorized representations, statements, conditions, or agreements not explicitly mentioned in these Terms, and if there are any, you are only entitled to rely on them if they are confirmed by us in

writing.

**Privacy**

– The use of your personal information is governed by our separate privacy policy.

**Overview**

– We shall not be liable for any breach to the extent caused by any of the following reasons:

– Any force majeure, terrorism, war, strike, lockout, strike, flood, storm, epidemic, pandemic, accident, power outage, delay in supply of materials or shortage of materials, war, or the enactment of any law, order, or regulation by any government agency or any other event beyond our reasonable control.

– Failure to or delay in exercising or enforcing any rights we have under these Terms shall not be deemed a waiver of our right to exercise or enforce such rights or any other rights in the future.

– We reserve the right to review these Terms at any time and from time to time. If there are any changes to these Terms, the changes will take effect from the date we notify you or publish the changes on our website.

– If any term is found to be invalid, void, illegal, or unenforceable, the validity, existence, legality, and enforceability of the remaining terms shall not be affected, impaired, or weakened.

– These Terms are governed by New Zealand law, and both parties agree to submit to the exclusive jurisdiction of New Zealand courts.
